Group Structure
We have the skills and experience to provide services, support and advice across our customer-facing divisions and a number of group functions.
The Group has been restructured to ensure we are better equipped to deal with the challenges facing our industry. The Restructuring and Risk division has been formed as part of this process.
It consists of:
- Non-Core & APS
- Global Restructuring Group
- Group Risk
- Group Legal & Secretariat
Non-Core and APS
Non-Core and APS will play a key part in restoring RBS to standalone financial strength. This area of the business will manage the sale or run down for our Non-Core assets and businesses. Many of these assets have been impaired as a result of the current economic climate but many are of good quality or businesses that are going concerns, but RBS is not currently able to invest in these to achieve their growth potential.
Responsible for:
- the businesses and assets which will form part of Non-Core and the Asset Protection Scheme (APS)
- the ongoing management of our involvement in Asset Protection Scheme
- establishing an operating model for the management of those assets and businesses in Non-Core.
Global Restructuring Group
The Global Restructuring Group, along with Non-Core and APS, plays an important part in managing major corporate clients across the globe who find themselves in financial distress.
Responsible for:
- the management of any problem lending portfolios. Returning those accounts to the originating Group Business Unit / Subsidiary in a satisfactory condition
- maximising debt recoveries
- obtaining levels of reward proportionate with risks undertaken.
Group Risk
RBS Risk management is an independent function responsible for ensuring there is an appropriate risk governance framework on a Group wide and Divisional basis and that day-to-day risks are managed effectively within this framework.
The management of risk is a fundamental activity which underpins the Group's reputation, performance and future success.

Group Legal & Secretariat
Group Legal & Secretariat is a central control and governance function of the RBS group which is responsible for the framework which will ensure we deliver long term sustainable returns.
Group Legal is responsible for:
- facilitating business and delivering commercial solutions while protecting the Group's franchise and managing legal risk.
- providing legal advice and support to the Group and its divisions and managing all major litigation across all the RBS jurisdictions.
Group Secretariat is responsible for:
- supporting the Chairman, Board and Board Committees, providing advice on corporate governance issues and a professional secretariat service to the Group's subsidiary companies and the Group Pension Fund; and managing the Group's relationship with retail shareholders.
- ensuring regulatory compliance with the Companies Acts, Financial Services and Markets Act, Consumer Credit Act and the UK Listing Rules and ensuring compliance with continuing obligations in all jurisdictions where the Group has listed capital.
- providing input to, and assisting with, the preparation of Reports & Accounts and the Annual Review & Summary Financial Statement and controlling group share aggregation.
